PARTICIPATION AGREEMENT

This Event Participation Agreement (“Agreement”) is effective as of the last signature date set forth below (“Effective Date”), by and between [Name of Entity / Person providing Services to the Event] (“Partner” or “you”) and [Company engaged for Event] (“Company”) and governs Partner’s participation and services to be provided in the event described in the attached Exhibit A (“Event”).

1. Description of Services. Partner will provide the services (“Services”) and deliverables, other materials, products, or information described herein (“Deliverables”) by the dates and at the locations indicated in Exhibit A and in accordance with Company’s reasonable instructions.

2. Compensation. Company will pay Partner X for its performance hereunder within 30 days of Company’s receipt of a properly submitted invoice and W9 from Partner.

3. Term/Termination.

3.1. The term of this Agreement shall begin on the Effective Date and continue in effect through the final day of the Event Period (as defined in Exhibit A) (“Term”). For clarity, the Term shall extend as needed to account for any Rain Date or other rescheduled events as set forth in Exhibit A or otherwise agreed to in writing by the parties (email sufficient). Notwithstanding the foregoing, the parties shall coordinate in good faith as needed thereafter to conduct any reasonable wind down or closing activities.

3.2. If prior to the Term (to the extent it becomes public during the Term) or during the Term of the Agreement, Partner is charged with or has committed a crime or engages in any actions involving moral turpitude or which may bring Company or any of its brands under ridicule, contempt, scandal, public disrepute, or which shock, insult, or offend the people of this nation or any class or group thereof or reflects unfavorably upon Company, or which in the judgment of Company is or may be detrimental to Company or its brands, then Company may terminate this Agreement by written notice to Partner. Without limitation to the foregoing, Partner shall not depict Company or any of Company’s products in a manner that is inconsistent with Company’s instructions or in a manner that could reasonably be perceived as negative, derogatory or detrimental to Company or to Company’s brands, name, reputation or trademarks. Partner shall not make any statements that disparage or reflect unfavorably on Company or Company’s products.
