A certificate of good standing is a routine ask in financing, in an acquisition, and when opening accounts. Discovering the problem at that point means a deal waits on a state office.

A lawsuit can be decided without you

This is the one that ends companies. If someone sues and cannot serve your agent, most states let them serve the Secretary of State instead, and that counts as valid service. The clock on your response starts running against a lawsuit you have never seen. Miss it and a default judgment is entered, which is a real, enforceable judgment against your business.
